This Artist/Producer Agreement (“Agreement”) is made and entered into as of [Date], by and between:

[Producer’s Name] (hereinafter referred to as the “Producer”),

[Artist Name] (hereinafter referred to as the “Artist”),

Both parties hereby agree to the following terms and conditions:

  1. Scope of Work

The Producer agrees to produce and/or compose original music for the Artist, which may include, but is not limited to, producing beats, instrumental tracks, and mixing and mastering services as outlined in Schedule A of this Agreement.

  1. Term

This Agreement shall commence on [Start Date] and remain effective until [End Date] or until the completion of the services specified in this Agreement.

  1. Fees and Payment

The Artist agrees to pay the Producer for the services provided under this Agreement as follows:

•   Non-exclusive beat license: [Insert Amount]
•   Exclusive beat license: [Insert Amount]
•   Mixing and mastering services: [Insert Amount]

Payment shall be made in the following manner:

•   [Percentage] upon signing this Agreement.
•   [Percentage] upon delivery of the final product.

All payments are non-refundable unless otherwise stated in this Agreement.

  1. Ownership & Rights • Non-Exclusive License: For non-exclusive beats, the Producer retains all ownership rights. The Artist is granted a non-exclusive, non-transferable license to use the music in recordings and performances, subject to the terms outlined in Schedule B.
    • Exclusive License: For exclusive beats, the Artist shall have the exclusive right to use the beat for commercial purposes. However, the Producer retains the right to credit as the original creator of the beat and will be entitled to [Insert Percentage]% of royalties from future uses of the song.
    • The Producer retains the right to use the music for promotional purposes, portfolio work, and future projects.
  2. Royalties • The Artist agrees to pay the Producer a royalty of [Insert Percentage]% of net revenues generated from the commercial release of any recordings that include the Producer’s work. This includes but is not limited to streaming, downloads, physical sales, and sync licensing opportunities.
    • Payment of royalties shall be made on a quarterly basis with proper documentation provided to the Producer.
  3. Credits

The Artist agrees to credit the Producer as follows in any public release of the track:

•   For Exclusive Tracks: “Produced by [Producer’s Name]”
•   For Non-Exclusive Tracks: “Produced by [Producer’s Name] (Producer's Company Name)”

Credits must appear on all copies of the recording, including digital platforms, CD packaging, and promotional materials.

  1. Delivery

The Producer agrees to deliver the final product to the Artist by [Insert Date] in the following format(s):

•   [Insert Format, e.g., WAV, MP3, stems, etc.]
  1. Termination

Either party may terminate this Agreement by providing [Insert Number] days’ written notice to the other party. Upon termination, the Artist shall pay the Producer any unpaid balance for services rendered prior to termination.

  1. Confidentiality

Both parties agree not to disclose any confidential information related to the business operations, finances, or intellectual property of the other party, unless required by law.

  1. Dispute Resolution

In the event of any dispute arising from or relating to this Agreement, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the parties are unable to resolve the dispute, the matter shall be settled through mediation in [Insert Jurisdiction], and if necessary, binding arbitration under the rules of the [Insert Arbitration Association].

  1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Insert State/Country].

  1. Miscellaneous • Entire Agreement: This Agreement contains the entire understanding between the parties and supersedes all prior agreements or understandings.
    • Amendments: This Agreement may only be modified in writing, signed by both parties.
